1. Acceptance of Terms

By accessing or using the TradeCaddy platform ("Service"), including our website, web application, mobile application, and API (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

"You" refers to the individual or entity registering for or using the Service. "We," "us," and "our" refer to TradeCaddy.

2. Description of Service

TradeCaddy is a field service management platform designed for trade professionals including lawn care, pool service, cleaning, and similar industries. The Service provides scheduling, customer management, invoicing, route optimization, team management, and related tools to help businesses operate more efficiently.

3. Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

4. Subscription Plans and Payment

TradeCaddy offers subscription-based pricing plans. By selecting a plan, you agree to pay the applicable fees. All plans include a 14-day free trial. After the trial period, your payment method will be charged automatically on a recurring basis unless you cancel before the trial ends.

All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our pricing with 30 days' prior notice.

5. SMS/Text Message Communications

By providing your phone number and consenting to receive SMS/text messages during registration, you agree to receive service-related text messages from TradeCaddy. These messages may include account notifications, appointment reminders, service updates, and other operational communications.

Message frequency varies. Message and data rates may apply depending on your mobile carrier and plan. You can opt out at any time by replying STOP to any message. For help, reply HELP or contact us at support@tradecaddy.us.

Supported carriers include but are not limited to AT&T, Verizon, T-Mobile, and Sprint. TradeCaddy is not responsible for delayed or undelivered messages due to carrier issues.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to transmit spam, malware, or other harmful content
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without our written consent

7. Your Data

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to use, store, and process Your Data solely for the purpose of providing and improving the Service.

We implement commercially reasonable security measures to protect Your Data. However, no method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

8. Multi-Tenant Architecture

TradeCaddy operates as a multi-tenant platform. Your company's data is logically separated from other companies' data. Each user account is associated with a single company, and access to data is restricted to authorized users within that company.

9. Third-Party Integrations

The Service may integrate with third-party services including Stripe (payment processing), Google Maps (route optimization and address services), and Twilio (SMS communications). Your use of these integrations is subject to their respective terms and privacy policies. We are not responsible for third-party services.

10. Intellectual Property

The Service, including its design, features, code, and content (excluding Your Data), is owned by TradeCaddy and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.

11. Termination

You may cancel your subscription at any time through your account settings. We may suspend or terminate your access to the Service if you violate these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days after termination, during which you may request an export. After 30 days, Your Data may be permanently deleted.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

13. Limitation of Liability

To the maximum extent permitted by law, TradeCaddy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless TradeCaddy and its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
